1. License Grant
GridSynx grants you a limited, non-exclusive, non-transferable, revocable license to use FireGrid solely for your internal business purposes, subject to these Terms and your active subscription.
2. License Restrictions
You may not: copy, distribute, or sublicense the software; reverse engineer or attempt to extract source code or server-side logic; share license keys or permits with unauthorized users; use the software on more machines than your seat count permits; or circumvent the licensing or authentication system.
3. Subscription and Billing
FireGrid is offered on a subscription basis. Subscriptions auto-renew unless cancelled at least 30 days before the renewal date. Contact us at info@gridsynx.com to cancel. Fees paid are non-refundable except as required by law.
4. License Enforcement
GridSynx reserves the right to immediately suspend or terminate your license if you violate these Terms, your subscription lapses, or we detect unauthorized use. Remote license revocation may occur without prior notice in cases of violation.
5. Intellectual Property
FireGrid, including all server-side logic, algorithms, workflows, and automation tools, is the exclusive property of GridSynx LLC. Nothing in these Terms transfers any ownership rights to you. You may not claim ownership of, patent, or commercialize any part of FireGrid.
6. Disclaimers
FIREGRID IS PROVIDED "AS IS." GRIDSYNX MAKES NO WARRANTIES REGARDING ACCURACY, RELIABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. FIREGRID IS A PRODUCTIVITY TOOL AND DOES NOT REPLACE PROFESSIONAL ENGINEERING JUDGMENT.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIDSYNX'S TOTAL LIABILITY WILL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM. GRIDSYNX IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
8. Governing Law
These Terms are governed by the laws of Indiana. Disputes shall be resolved in Vigo County, Indiana.
